1. Acceptance of Terms
By accessing or using the ActivEMS platform, you agree to be bound by these Terms of Service. If you are entering into this agreement on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these terms.
2. Nature of Service
ActivEMS provides mission-critical dispatch, fleet management, and clinical documentation software for Emergency Medical Services (EMS) agencies.
Critical Notice: While ActivEMS is designed to support emergency operations, it is not a replacement for basic emergency services (911/112). In the event of a software outage or failure, agencies must have offline continuity plans in place.
3. HIPAA & Data Compliance
We acknowledge that our service involves the processing of Protected Health Information (PHI). We agree to comply with all applicable provisions of the Health Insurance Portability and Accountability Act (HIPAA). All PHI stored in ActivEMS is encrypted at rest and in transit. A separate Business Associate Agreement (BAA) must be executed between Activbyte Technologies Inc. and your agency before processing any patient data.
4. Service Level Agreement (SLA)
We commit to a 99.9% uptime SLA for core dispatching services. Using our redundant cloud infrastructure, we strive to ensure continuous availability. Credits for downtime are calculated pursuant to your Enterprise Master Service Agreement.
5. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ACTIVBYTE TECHNOLOGIES INC. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (A) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE; (B) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE; OR (C) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT.
6. Governing Law
These Terms shall be governed and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.
